Terms of Use

Version 2026-10-13.1 · Effective October 13, 2026

These Terms of Use (the “Terms”) are an agreement between you and Clinvanta LLC, a Florida limited liability company (“Clinvanta,” “we,” “us”), the operator of Clinova (the “Service”). By checking the agreement box when you create an account, or by using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Clinova is a web application in which you record and organize material relevant to a medical residency application — experiences, session logs, clubs and roles, publications, awards, certifications, and hobbies — attach supporting documents to your entries, and keep other documents, such as a CV, in a Documents section. The Service stores what you enter and upload, counts and formats it against published ERAS field shapes, and lets you export it.

2. Eligibility

You may use the Service only if you are at least 18 years old and capable of forming a binding contract. By creating an account you represent that both are true.

3. Beta status

The Service is provided as a beta. It may contain errors, may change in features or behavior without notice, and may be interrupted, suspended, or discontinued at any time. We make no commitment to uptime, availability, or continuity of the Service.

You are responsible for keeping your own backup of what you enter. The Service gives you a one-click export of all of your content at any time (Settings → Export, or the Export button in the app), including a zip that bundles your record with every document you upload, and we encourage you to use it regularly.

4. Your account

You need an account to use the Service. You agree to provide a working email address, to keep your password confidential, and to be responsible for all activity that occurs under your account. Notify us at hello@getclinova.com promptly if you believe your account has been accessed without your authorization. You may use the password-reset flow at any time to regain control of your account.

5. Information you choose to provide

Beyond the email address and password used for authentication, the Service does not require any particular information from you. All record content — typed entries and uploaded documents alike — is provided voluntarily, at your discretion, and you decide what to include. Do not enter or upload information you are not comfortable storing with the processors described in our Privacy Policy, and do not enter or upload information about other people that you are not entitled to share (for example, patient-identifying information, including in documents you upload).

6. Your content and our license

You own all content you enter into or upload to the Service. You grant Clinvanta a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, back up, and display that content solely as necessary to operate, secure, and provide the Service to you — including assembling it into the exports you request. This license is granted for no other purpose: we do not use your content for advertising, do not sell it, and do not use it to train machine-learning models.

The license ends when your content is deleted from the Service, except to the extent copies persist for a limited time in our processors’ routine backups, as described in the Privacy Policy.

7. Acceptable use

You agree not to:

  • use the Service in violation of any applicable law or regulation;
  • probe, scan, or test the vulnerability of the Service, bypass or attempt to bypass its authentication or access controls, or access another person’s account or data;
  • interfere with the Service’s operation, including by overloading, flooding, or scripting abusive volumes of requests;
  • misrepresent your identity to us, or resell or provide the Service to third parties as your own offering;
  • enter content that is unlawful or that infringes the rights of others.

We may suspend or terminate accounts engaged in these activities, as described in Section 10.

8. Independence from AAMC, ERAS, and NRMP

The Service is an independent product of Clinvanta. It is not affiliated with, endorsed by, sponsored by, or connected to the Association of American Medical Colleges (AAMC), the Electronic Residency Application Service (ERAS), or the National Resident Matching Program (NRMP). ERAS is a service of the AAMC; AAMC, ERAS, and NRMP marks are the property of their respective owners and are used here only to refer to those organizations and their published application formats.

The Service does not submit anything to ERAS on your behalf, and holding material in Clinova has no effect on any application. You are solely responsible for your actual residency application, its contents, and its deadlines.

9. Fees

The Service is currently free of charge while in beta, and we collect no payment information. We may introduce fees for some or all of the Service in the future; if we do, we will provide notice in advance, and continued use of any paid portion will require your agreement to the applicable pricing. Your ability to export your content will not be conditioned on payment.

10. Termination

You may stop using the Service at any time, and you may delete your account yourself in Settings → Delete this account. Deletion is immediate and permanent, as described in the Privacy Policy.

We may suspend or terminate your access to the Service if you materially breach these Terms, if we are required to by law, or if we discontinue the Service; where practicable we will give you notice and an opportunity to export your content first.

Sections 6 (as to the wind-down of the license), 11, 12, 14, and 15 survive any termination of these Terms or your account.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT WILL NOT BE LOST.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLINVANTA AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF OPPORTUNITY, OR LOSS OF PROFITS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE SAME EXTENT, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you; in that case our liability is limited to the fullest extent such law permits.

13. Changes to these Terms

We may revise these Terms. Each revision carries a new version identifier and effective date at the top of this page. For material changes, we will provide notice — by email to your account address or by an in-app prompt — and the Service will ask you to accept the revised Terms before you continue using it. Non-material revisions (such as clarifications or corrections) take effect when posted with a new version identifier, and your continued use after the effective date constitutes acceptance of them.

Your acceptance of each version you are asked to accept is recorded with its version identifier and a timestamp. These Terms and the Privacy Policy are versioned and accepted together as a single unit.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally shall be brought exclusively in the state or federal courts located in Orange County, Florida; each party consents to personal jurisdiction there and waives any objection to venue in those courts.

15. General

The “In plain terms” notes on this page and in the Privacy Policy are provided for readability only; they are not part of the agreement and do not modify it. If a note conflicts with the numbered text, the numbered text controls.

These Terms and the Privacy Policy are the entire agreement between you and Clinvanta about the Service. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, subject to the Privacy Policy’s commitments.
